1. Acceptance of Terms

By accessing or using the Manhattin platform (the “Platform”), you agree to be bound by these Terms and Conditions (“Terms”), our Privacy Policy, and any additional policies or agreements made available within the Platform. If you do not agree, you must not access or use the Platform.

These Terms form a legally binding agreement between Manhattin Inc. and you, whether you are using the Platform as an individual or on behalf of an organization.

2. Description of Services

Manhattin provides a cloud-based Software-as-a-Service (SaaS) platform for property management, enabling landlords, property managers, tenants, and service providers to manage leases, payments, maintenance requests, operational data, and communications.

Certain features may rely on third-party integrations, including:

Artificial intelligence providers (including OpenAI and xAI)
Payment processors and financial institutions
Communication, CRM, and analytics services

Manhattin may modify, suspend, or discontinue any aspect of the Platform at any time without liability.

3. Eligibility and Account Registration

To use the Platform, you must:

Be at least eighteen (18) years of age
Provide accurate, current, and complete registration information
Maintain the confidentiality of your login credentials

You are responsible for all activities conducted through your account. You must notify Manhattin immediately at info@manhattin.com of any unauthorized access or suspected security breach.

Manhattin may suspend or terminate accounts for violations of these Terms, misuse of the Platform, or unlawful activity.

4. Subscriptions, Billing, and Payments

4.1 Plans and Fees

Access to certain features requires a paid subscription. Pricing, features, and billing cycles are displayed at checkout or within the Platform. All fees are non-refundable except where required by applicable law.

4.2 Automatic Renewal

Subscriptions renew automatically at the end of each billing period unless canceled prior to renewal. You may manage or cancel your subscription through your account settings.

4.3 Taxes

All fees are exclusive of applicable taxes, including GST, QST, or HST, which will be added to invoices as required by law.

4.4 Late or Failed Payments

Manhattin may suspend or terminate access for unpaid or disputed invoices. Interest on overdue amounts may accrue in accordance with Quebec civil law.

5. Acceptable Use

You agree not to:

Upload, transmit, or store unlawful, misleading, defamatory, or offensive content
Violate the privacy or rights of others
Reverse engineer, copy, resell, or exploit the Platform without authorization
Circumvent security controls or access restrictions
Use automated scraping, bots, or unauthorized scripts
Transmit spam or unsolicited communications
Use AI features to generate misleading, fraudulent, or illegal content

Manhattin may investigate violations and suspend or terminate accounts as appropriate.

6. Artificial Intelligence Features

Certain Platform features integrate artificial intelligence services provided by OpenAI and xAI.

By using AI-enabled features, you acknowledge and agree that:

Text, prompts, or uploaded content may be transmitted to OpenAI or xAI for processing
Manhattin minimizes or anonymizes personal data where reasonably possible
AI providers act as subprocessors subject to confidentiality and security obligations
Data processed through AI features is not used to train public AI models
AI-generated outputs may contain inaccuracies and must be reviewed by you before use

Manhattin is not responsible for decisions made based on AI-generated content.

7. Intellectual Property

7.1 Manhattin Property

All software, code, databases, designs, trademarks, and content comprising the Platform are owned exclusively by Manhattin Inc. and protected under applicable intellectual property laws.

7.2 User Content

You retain ownership of content you submit to the Platform. By submitting content, you grant Manhattin a non-exclusive, worldwide, royalty-free license to host, process, and display such content solely to operate and improve the Platform. You represent that you have all necessary rights to submit such content.

8. Confidentiality

Each party agrees to maintain the confidentiality of proprietary or non-public information disclosed in connection with the Platform. Manhattin will handle personal information in accordance with its Privacy Policy.

9. Data Protection and Privacy

Your use of the Platform is subject to Manhattin’s Privacy Policy, which forms an integral part of these Terms. By using the Platform, you consent to the collection and processing of personal information as described therein.

10. Third-Party Services

The Platform may integrate or link to third-party services. Manhattin is not responsible for the availability, performance, or actions of third-party providers. Your use of third-party services is governed by their respective terms and policies.

11. Warranties and Disclaimers

The Platform is provided on an “AS IS” and “AS AVAILABLE” basis. To the maximum extent permitted by law, Manhattin disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Limitation of Liability

To the maximum extent permitted by law:

Manhattin shall not be liable for any indirect, incidental, consequential, or punitive damages
Manhattin’s total liability for any claim shall not exceed the fees paid by you in the three (3) months preceding the event giving rise to the claim

Where such limitations are not permitted, liability will be limited to the minimum extent allowed by law.

13. Indemnification

You agree to indemnify and hold harmless Manhattin Inc., its officers, directors, employees, and affiliates from any claims, damages, losses, or expenses arising from:

Your use or misuse of the Platform
Your violation of these Terms or applicable law
Your infringement of third-party rights

14. Suspension and Termination

Manhattin may suspend or terminate your access, with or without notice, if you violate these Terms or pose a security or legal risk. Following termination, Manhattin may delete associated data in accordance with its data retention policies.

You may cancel your subscription at any time, effective at the end of the current billing period.

15. Service Availability and Maintenance

Manhattin aims to provide high availability but does not guarantee uninterrupted service. Scheduled maintenance may occur, and Manhattin is not liable for losses resulting from downtime or service interruptions.

16. Governing Law and Jurisdiction

These Terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable therein. Any disputes shall be resolved exclusively in the courts located in Montreal, Quebec. Proceedings may be conducted in English or French.

17. Changes to These Terms

Manhattin may update these Terms periodically. Changes become effective upon posting within the Platform or notification to users. Continued use of the Platform constitutes acceptance of the updated Terms.

19. Entire Agreement

These Terms, together with the Privacy Policy and any supplemental agreements, constitute the entire agreement between you and Manhattin regarding use of the Platform and supersede all prior agreements.
